Notice of membership meeting to consider bylaws revision:

A Meeting of the Members of Jefferson Symphony Association (JSA), the entity under which the Jefferson Symphony Orchestra (JSO) does business, will be held on Monday, September 21, 2020 at 6:30 p.m. electronically online using the Zoom meeting application. The sole purpose of the meeting will be to consider and adopt an amendment to the bylaws of the JSA as described below. If you are a current member as defined in the unrevised current bylaws, you will receive an email from the JSA office with instructions on how to attend on August 26 and a letter in the regular mail with the same information.

Sept. 21 Proxy

You are a Member and can vote at the meeting if you either (a) purchased a 2019-20 Jefferson Symphony Orchestra Season Ticket; (b) are a member of the Board of Directors of the JSA; or

(c) are a musician who played in 3 or more JSO season ticket concerts during the past 12 months.

If you are a member and do not receive such an email or regular mail notice, please contact the JSA office via email at info@jeffsymphony.org

At the meeting, the amendment to the bylaws described below will be proposed. The proposed amendment will assure that now, and in the future, persons who have traditionally been members of the JSA will continue to be members of the JSA. These changes are needed because of the effect of concert cancellations, and the inability to offer season tickets, for the 2020-21 season and will work effectively to eliminate any such problem in the future.

If you cannot attend the meeting, you may give your proxy to another JSA member, who will attend the meeting and vote on your behalf, by using the Proxy Form available on the JSO website and following the instructions on that page. A JSA member can vote no more than two proxies.

The current Article III of the JSA bylaws reads as follows:

 

"ARTICLE III

 

ASSOCIATION MEMBERSHIP

 

--Holders of current season tickets, members of the Board of Directors, and those musicians who have performed in three (3) or more season ticket concerts of the JSO during the immediately prior twelve (12) months shall be members of the Association.

--Each Association member shall be entitled to one (1) vote on all matters placed before the membership.”

 

The proposed amendment to the JSA bylaws is to delete the current Article III above and replace it with the following revised Article III:

 

"Article III

 

ASSOCIATION MEMBERSHIP

 

  1. The members of the Association are:

    1. members of the JSA Board of Directors;

    2. holders of current JSO season tickets, or, if no season tickets are offered for a season, the holders of season tickets for the immediately preceding season for which season tickets were offered; and

    3. those musicians who have performed in three (3) or more of the last five (5) JSO regular season orchestra concerts performed by the JSO prior to the date of membership determination (regular season orchestra concerts are those designated as such by JSO and do not include recitals, summer concerts, or other special events concerts).

 

  1. Each Association member shall be entitled to one (1) vote on all matters placed before the membership.”
